Buyer Agreement
For purposes hereof, “Buyer” shall mean a purchaser of goods on the Bison Leaf LLC, an Oregon limited liability company (“Bison Leaf”) wholesale marketplace (the “Platform”).
Eligibility
You certify that you are accessing the platform solely in a business capacity and that you are (a) a Public Lands Alliance Member, (b) a Nonprofit Friends Group, or (c) a Public Lands Agency Partner, and that you have full authority to bind your organization to this Buyer Agreement. You further represent that your organization is duly organized, validly existing, and in good standing under the laws of its jurisdiction of formation and has all requisite power and authority to enter into and perform its obligations under this Buyer Agreement.
Verification
You agree to provide a valid resale certificate (where applicable) and any other tax, nonprofit, or organizational documentation reasonably requested by Bison Leaf or a vendor to verify your eligibility, tax status, and organizational standing. You acknowledge that access to the platform, and the ability to place or complete orders, may be delayed, limited, suspended, or terminated if such verification is not provided in a timely manner, is inaccurate or incomplete, or if your eligibility changes. You agree to promptly notify Bison Leaf in writing of any change in your eligibility, tax status, or organizational status that may affect your use of the platform or your compliance with this Buyer Agreement.
Order Integrity
Placing an order through the platform constitutes an offer by you to purchase products or services from the applicable vendor. When a vendor accepts an order (including by confirming, invoicing, or shipping), a binding contract is formed solely between you and that vendor. Once an order is accepted by a vendor, you are responsible for coordinating and completing all aspects of the transaction, including payment, shipping, delivery, and any changes, cancellations, returns, or refunds, directly with that vendor. You acknowledge and agree that (a) Bison Leaf is not a party to, and has no responsibility or liability for performing, enforcing, or guaranteeing any purchase orders, invoices, shipments, or related transactions between you and any vendor; (b) all terms of sale, including pricing, product descriptions, shipping, delivery, returns, credits, and warranties, are established solely between you and the vendor and may be subject to the vendor’s separate terms and conditions; and (c) Bison Leaf does not control and does not guarantee vendor performance, product availability, product quality, product compliance, pricing, timeliness of delivery, or compliance by any vendor with its legal or contractual obligations.
File Security
Catalogs, images, specifications, price lists, and other files or content made available through the platform may be provided by vendors or other third parties. Bison Leaf does not control and is not responsible for the security, integrity, accuracy, completeness, legality, or content of any such catalogs, files, or materials, and does not verify that they are free of viruses, malware, or other harmful components. All such materials are provided “as is” and “as available.” You are solely responsible for implementing and maintaining appropriate technical, administrative, and organizational safeguards, including up‑to‑date antivirus, malware protection, backup, and access controls, before downloading, opening, using, or relying on any catalogs, files, or other materials obtained through the platform.
Operational Accuracy
To support a transparent and efficient marketplace, you are responsible for the ongoing accuracy, completeness, and timeliness of all information you provide in connection with your account and use of the platform. This includes, without limitation, your organizational profile, contact information, billing and shipping details, tax and nonprofit status, and any other data or credentials submitted in your buyer application or thereafter. You agree to promptly review and update your information whenever it becomes inaccurate, incomplete, or misleading, and upon Bison Leaf’s reasonable request. Bison Leaf may, in its reasonable discretion, delay, suspend, or limit access to some or all of the platform, or to specific features or vendors, if it believes that your information is inaccurate, incomplete, misleading, or not kept current.
Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Bison Leaf, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the platform (including any orders placed or transactions entered into with vendors); (b) your breach of this Buyer Agreement or any of the Marketplace Terms; (c) your violation of any applicable law, rule, or regulation; or (d) any allegation that Bison Leaf’s provision of the platform to you has caused damage or loss to a third party as a result of your acts or omissions. Bison Leaf will provide you with prompt notice of any claim for which it seeks indemnification (provided that any delay in notice will not relieve you of your obligations except to the extent you are materially prejudiced), and you will not settle any claim in a manner that imposes any admission of liability, obligation, or non-monetary remedy on Bison Leaf without Bison Leaf’s prior written consent.
